1. About these Terms
Oppovia is an online open radio network. It lets people listen to live audio shows, follow presenters and take part through comments, polls, requests and tips, and speak live on stage when a presenter invites them. Anything you say on stage is your content and must follow these terms, just like a comment. Approved presenters can create shows, broadcast live and earn a share of the revenue their shows generate.
Oppovia, including the website at https://oppovia.com/, the installable web app and any related apps, is owned and operated by Osabox Limited ("Osabox Limited", "we", "us" or "our").
These Terms of Use form a binding agreement between you and Osabox Limited. They apply whenever you visit, listen, create an account, apply to present or broadcast. Our Privacy Policy, Cookie Policy and Disclaimer also apply and form part of these Terms.
If you do not agree with these Terms, please do not use Oppovia.
2. Eligibility and accounts
- You must be at least 13 years old to use Oppovia. If you are under 18, you may only use it with the permission of a parent or legal guardian, who accepts these Terms on your behalf.
- You must be 18 or older to apply to become a presenter, to send tips or to receive earnings and payouts.
- You must give accurate information when you register or apply, and keep it up to date.
- You may hold only one personal account unless we agree otherwise in writing. Accounts may not be sold or transferred.
- You are responsible for keeping your password secure and for everything that happens under your account. Tell us straight away at support@oppovia.com if you think someone else has used it.
3. Listening and taking part
You may listen to shows for your own personal, non-commercial use. You must not record, download, copy, rebroadcast, restream or publicly perform any broadcast, in whole or in part, without the permission of the presenter and of Osabox Limited.
Comments, poll votes, song or shout-out requests and your display name and profile photo are visible to presenters and, in most cases, to other listeners. Requests are suggestions only. Presenters decide what to play or discuss.
4. The Presenter Programme
Applying and approval
Anyone who meets the requirements may apply to become a presenter. We review every application and may approve or decline it at our discretion, without having to give reasons. We may ask you to verify your identity at any time.
Independent creators
Presenters are independent creators who use Oppovia to publish their own shows. Nothing in these Terms creates an employment, agency, partnership or joint venture relationship between you and Osabox Limited. You are not entitled to a salary, benefits or guaranteed income. You are responsible for your own equipment, internet connection, tax affairs and any registrations or permits your activities require.
Schedules, check-in and attendance
Time slots are allocated by Oppovia. Listeners plan around the schedule, so reliability matters. When you are given a slot you agree to:
- check in before your show, during the check-in window that opens 15 minutes before the start time;
- start broadcasting on time and present for your scheduled slot; and
- cancel in advance through your dashboard if you cannot present.
Late starts and missed shows are recorded automatically. Missed shows within a 90-day period currently lead to a caution after 1 missed show, a warning after 2 missed shows, a final warning after 3 missed shows, a suspension of 7 days after 4 missed shows, removal from the Presenter Programme after 6 missed shows. We may change these thresholds, and our admins may excuse a missed show where there was a genuine reason, including a fault on our platform.
We calculate a Presenter Score from factors such as attendance, punctuality, listener engagement, follower growth, completed shows, upheld complaints and rule violations. We may use it when allocating time slots, featuring presenters and deciding on enforcement.
Responsibility for your broadcasts
- You are solely responsible for everything said, played or shared during your shows, including by guests and callers.
- You must have every right, licence and permission needed for the music, recordings, jingles, interviews and other material you broadcast. Osabox Limited does not provide music or performance licences for your shows unless we have expressly agreed to in writing.
- You must comply with all laws that apply to you and your content, including laws on defamation, privacy, consumer protection, advertising, gambling, elections and broadcasting.
- Any paid promotion, sponsorship or product placement arranged outside Oppovia must be clearly disclosed to listeners during the show.
5. Your content
You keep ownership of the content you create, including your live audio, show details, cover art, profile information and comments ("Your Content").
You grant Osabox Limited a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, transmit, stream, reproduce, format, display, distribute and promote Your Content in connection with operating, improving and promoting Oppovia. This includes using short excerpts, your display name and your profile image to promote your shows and the platform. The licence lasts while Your Content is on Oppovia and for a reasonable period afterwards for backups, legal records and promotional material already produced.
Live broadcasts are not recorded by default. If we introduce recordings, replays or automatic podcast episodes, we will tell presenters before the feature applies to their shows.
You confirm that Your Content does not infringe anyone else's rights and complies with these Terms.
Music and other recorded audio
Presenters may upload and play music, jingles and other recorded audio only if they created it and own the rights, it is royalty-free under a licence that allows public broadcasting, or they hold a licence to broadcast it. Each upload requires that declaration, including the source or licence reference where relevant. Music rights are territorial, and a live show can be heard in many countries, so presenters must make sure their rights cover broadcasting on Oppovia.
We record every piece of audio played on air, including its title, artist, declared rights and play time. We may share these records with rights holders and collecting societies, remove audio that receives a valid complaint or that we reasonably believe infringes someone's rights, and suspend presenters who repeatedly play audio without the rights. Presenters are responsible for claims that arise from audio they upload or play.
6. Community rules
You must not use Oppovia to:
- promote hatred or discrimination, or attack people based on race, ethnicity, nationality, religion, sex, gender identity, sexual orientation, disability or similar characteristics;
- harass, bully, threaten, stalk or intimidate anyone;
- share sexually explicit content, or any content that sexualises minors. We report child sexual abuse material to the authorities;
- encourage or glorify violence, self-harm or terrorism;
- carry out, promote or facilitate illegal activity, including fraud, scams, pyramid schemes and the sale of illegal goods;
- infringe copyright, trade marks or other intellectual property;
- spam, or post misleading links or repeated unsolicited promotions;
- spread false information likely to cause real harm, such as dangerous health claims or false information about elections or emergencies;
- impersonate any person or organisation, or misrepresent your connection with them;
- share another person's private information without their consent;
- inflate listener counts, followers, poll results or tips with fake accounts, bots or any other artificial means;
- use tips or payouts to launder money or move funds for anyone else; or
- hack, overload, scrape, reverse engineer or interfere with the platform, its streams or its security, or upload malicious code.
7. Reports and enforcement
You can report presenters, shows, broadcasts, comments and users from within the platform. Our team reviews reports but cannot monitor every live broadcast in real time.
If we believe these Terms have been broken, or that action is needed to protect listeners, presenters, Osabox Limited or the public, we may do any of the following, with or without notice:
- remove or hide content, or end a live broadcast;
- issue a caution, warning or final warning;
- suspend or permanently remove presenter access or any account;
- cancel scheduled shows and reallocate time slots;
- withhold, reverse or cancel earnings connected to fraud or a breach of these Terms; and
- report matters to law enforcement or other authorities.
If you believe we made a mistake, you may appeal by emailing legal@oppovia.com within 30 days of the decision. Tell us what happened and why you think the decision should change.
8. Tips, earnings and payouts
Tips
Tips are voluntary gifts to presenters. They are not payment for goods or services and do not entitle you to anything from the presenter. Each tip must be between $1.00 and $1,000.00. Tips are non-refundable, except where the law requires a refund or where we reverse a tip that was fraudulent, unauthorised or sent in error. Payments are handled by third-party payment providers under their own terms.
Revenue sharing
Revenue from tips, advertising and sponsorship linked to a presenter or show is split between Osabox Limited and the presenter under revenue-share rules shown in the presenter dashboard. The presenter's default share is currently 60%. Individual written agreements, particular revenue types or particular shows may use different splits. We may change revenue-share rules on reasonable notice. Changes do not affect amounts already credited to your wallet.
Wallet
Your presenter wallet records the earnings payable to you under these Terms. It is not a bank account or deposit, does not earn interest and cannot be used to make payments to others. Balances are shown in USD unless we say otherwise.
Payouts
- You can request a payout once your available balance is at least $20.00. A processing fee of 2% applies to each payout.
- You must provide accurate payout details. We are not responsible for payments sent to details you gave us.
- We may verify your identity and may delay or withhold a payout while we investigate suspected fraud, a breach of these Terms or a legal requirement.
- You are responsible for declaring and paying any taxes on your earnings. We may deduct or withhold amounts where the law requires it.
9. Our intellectual property
The Oppovia software, design, name, logos and all other materials we provide are owned by Osabox Limited or its licensors and are protected by intellectual property laws. We grant you a limited, personal, revocable, non-exclusive and non-transferable licence to use the platform for its intended purpose under these Terms. You may not copy, modify, distribute, sell or create derivative works from any part of it without our written permission.
If you send us ideas or feedback, we may use them freely without any obligation to you.
Copyright complaints
If you believe content on Oppovia infringes your copyright, email legal@oppovia.com. Include your contact details, a description of the work, where it appears on the platform, and a statement that you own the rights or are authorised to act for the owner. We will review valid notices promptly and may remove content and close the accounts of repeat infringers.
10. Third-party services
Oppovia relies on third parties, including real-time audio streaming providers, payment and payout providers, mobile money operators and hosting providers. Links, advertisements and sponsorships may also lead to third-party websites. Those services are governed by their own terms, and we are not responsible for them.
11. Availability and changes to the service
We work to keep Oppovia available and reliable, but live audio depends on internet connections, devices and third-party infrastructure. We do not guarantee that the platform, any broadcast or any feature will be uninterrupted, error-free or available at any particular time. We may change, add or remove features, and some features may be offered as previews that can change or end.
12. Closing or suspending accounts
You may stop using Oppovia at any time. To close your account, email support@oppovia.com.
We may suspend or close your account if you break these Terms, if we are required to by law, or if your use creates risk or legal exposure for us or others. When a presenter account closes, earnings that are validly credited and not connected to fraud or a breach of these Terms remain payable, subject to the payout minimum, verification and these Terms.
Sections of these Terms that by their nature should continue after closure will continue, including those on your content licence, intellectual property, disclaimers, limitation of liability, indemnity and governing law.
13. Disclaimers
Oppovia is provided "as is" and "as available". To the fullest extent permitted by law, Osabox Limited makes no warranties, express or implied, about the platform or any content on it, including warranties of fitness for a particular purpose, accuracy or non-infringement. Shows are created by independent presenters, and their views are not ours. Please read our Disclaimer.
14. Limitation of liability
To the fullest extent permitted by law:
- Osabox Limited is not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, audience, data or goodwill, arising from your use of Oppovia;
- Osabox Limited is not liable for content created or shared by presenters, guests, listeners or other third parties; and
- our total liability to you for all claims relating to Oppovia is limited to the greater of the fees you paid to Osabox Limited in the 12 months before the claim arose and 100 US dollars.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud or for death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived.
15. Indemnity
You agree to compensate Osabox Limited, its directors, employees and agents for any claims, losses, damages, costs and reasonable legal fees arising from Your Content, your broadcasts, your breach of these Terms, or your breach of any law or of anyone else's rights.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Zambia. If you have a concern, please contact us first at legal@oppovia.com so we can try to resolve it informally within 30 days. If we cannot, the courts of the Republic of Zambia will have jurisdiction. This does not take away any mandatory consumer protection you have under the laws of the country where you live.
17. Changes to these Terms
We may update these Terms from time to time. For material changes, we will give notice through the platform or by email, where reasonably possible at least 14 days before the changes take effect. The effective date and version at the top of this page show when the Terms last changed. If you keep using Oppovia after changes take effect, you accept the updated Terms. If you do not agree, stop using the platform and close your account.
18. General
- These Terms, together with the documents they refer to and any written agreement you have with us, are the entire agreement between you and Osabox Limited about Oppovia.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- If we do not enforce a right straight away, we have not waived it.
- We may transfer our rights and obligations under these Terms as part of a reorganisation, merger or sale of the business. You may not transfer yours without our written consent.
- If these Terms are translated, the English version prevails.
